The emergence of new businesses in Cuba, which has been driven by the ongoing changes in the economic model, and whose conceptualization has been approved, poses new challenges to business managers, and the institutional context in which they act. That is the reason why there is a need to create a new legal framework for governing business transactions. This paper is aimed at reflecting on this, by examining reports of the last few congresses of the Communist Party of Cuba; describing current business transactions which are made in accordance with the resolutions currently in force, with emphasis on improving state-owned enterprises; and briefly analyzing other countries’ corporate laws as potential frames of reference.
