This paper is aimed at examining the role played by governance and social and economic upgrading in global value chains under contemporary capitalism. It demonstrates that the process of technological change has shaped globalization on the basis of global value chains which are divided into two major categories - producer- and buyer-driven value chains. In this context, governance, on a global level, points to the way in which corporation controls value chain, whereas upgrading, on a local level, describes dynamic movements within chain. At the same time, because the capitalist system has functionally combined its segmented production processes, it manages to find new contexts for its accumulation process, by means of transborder production.
